These Terms of Service (“Terms”) govern your use of pivottoai.ca and all PivotToAI memberships, self-paced courses, hackathon tickets, and consulting services (collectively, the “Services”). By creating an account, purchasing a membership, or registering for a hackathon, you agree to these Terms.

1. Who We Are

2. Eligibility

You must be at least 16 years old and able to enter a binding contract under the laws of your jurisdiction. If you purchase on behalf of an employer, you represent that you have authority to bind that organization.

3. Accounts

  • Keep your login credentials confidential. You are responsible for activity on your account.
  • Account sharing between individuals is prohibited and may result in suspension without refund.
  • Notify us at support@pivottoai.ca if you believe your account has been compromised.

4. Subscriptions and Billing

  • Builder ($299 CAD/month): monthly auto-renewal until cancelled. You may cancel at any time from your account dashboard.
  • Founder ($3,000 CAD/year): annual auto-renewal. You may cancel at any time. See Refund Policy for pro-rata terms.
  • Hackathon tickets ($750 CAD per event): single-session purchase, no auto-renewal.
  • All prices in Canadian dollars (CAD). Applicable taxes (e.g., GST, PST) added at checkout where required by law.
  • Payment processed by Stripe. We do not store full card numbers on our servers.
  • Failed renewal attempts may result in loss of access until payment is resolved. We will email you before suspension.
  • Refunds are governed by our Refund Policy, which is incorporated into these Terms.

5. Services Description

  • Self-paced online training on Claude Code, agentic coding, AI agents, MCP, and prompt engineering.
  • Weekly in-person hackathons in Vancouver, BC.
  • Consulting support via email, chat, and scheduled sessions where included in your tier.
  • All Services are digital or in-person; no physical goods are shipped. Therefore, no shipping policy applies.

6. Acceptable Use

You agree not to:

  • Resell, republish, or redistribute course videos, slides, or written materials without our written permission.
  • Scrape, data-mine, or bulk-download content for the purpose of building a competing product.
  • Upload malicious code, attempt to gain unauthorized access, or interfere with other users’ experience.
  • Use the Services to generate content that violates applicable law or third-party rights.

7. Intellectual Property

All course content, videos, written materials, code samples, and brand assets are owned by PivotToAI or its licensors. We grant you a non-exclusive, non-transferable, revocable licence to access the materials for your personal or internal business use during the term of your membership or hackathon registration. You retain ownership of any code, notes, or projects you create using our training — we claim no rights to your work product.

8. User-Generated Content

If you post questions, comments, or projects in our forums, Slack, or hackathon sessions, you grant PivotToAI a non-exclusive, worldwide, royalty-free licence to display, reproduce, and reference that content for the operation and promotion of the Services. You represent that you have the right to grant this licence.

9. Third-Party Services

The Services integrate with third-party platforms (Stripe for payments, email providers for transactional mail, and AI model providers referenced in training). Use of those integrations is subject to their respective terms. We are not responsible for third-party outages or policy changes.

10. Disclaimers

Services are provided “as is” and “as available”. Training materials are educational; we do not guarantee specific business, career, or revenue outcomes. AI tools demonstrated in our training change frequently; techniques taught on a given date may need to be adapted as underlying models evolve.

11. Limitation of Liability

To the maximum extent permitted by law, PivotToAI’s total liability to you under these Terms will not exceed the greater of (a) the total fees you paid to us in the 12 months before the claim arose, or (b) CAD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in this section limits your statutory rights under the British Columbia Business Practices and Consumer Protection Act or other non-waivable consumer legislation.

12. Termination

You may cancel your membership at any time. We may suspend or terminate your account for material breach of these Terms, refund abuse, chargeback abuse, or conduct harmful to other users. Where a termination is on our initiative and not for cause, we will provide a pro-rata refund per the Refund Policy.

13. Changes to These Terms

We may update these Terms from time to time. Material changes take effect 14 days after we post the revised version and notify active members by email. Continued use of the Services after the effective date constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. You and PivotToAI submit to the exclusive jurisdiction of the courts of British Columbia for any dispute arising out of or relating to the Services, subject to any mandatory consumer forum rights you retain under applicable law.
